How to close or suspend a sole proprietorship in Armenia

Updated: October 2026 · 3 min read

In short: a sole proprietorship (IE) in Armenia is closed by filing an application with the State Register Agency of Legal Entities under the Ministry of Justice. There is no state fee, and the IE is considered closed from the moment the application is filed. You can apply in person or through a representative with a power of attorney. If you plan to resume work, you can file an application with the tax authority to suspend activity instead of closing. Then you do not need to file nil returns for full periods.

Close or suspend

Closing the IE

  • Suits you if you are leaving for good or switching your business to an LLC.
  • Registration ends and there are no more returns.
  • Tax debts are not written off. You remain personally liable for them.

Suspending activity

  • Suits you for a pause of a few months: a project has ended and you are looking for new clients.
  • The application is filed with the tax authority (Article 53 of the Tax Code). It applies only going forward.
  • It does not cancel payments or debts already accrued and does not remove the IE from the register.

How to close an IE step by step

  1. Settle with your clients
Issue your final invoices and e-invoices and collect payment. Once the IE is closed, you cannot receive money as an IE.
  2. File returns and pay taxes
File the return for the last period and check your balance in your tax account. It is best to close with no debts.
  3. Settle with employees
If you have staff, terminate their employment, pay their salaries and file the related reports. If the IE was registered before 2013 and had employees, you will need a certificate confirming that personnel records were transferred to the archive.
  4. Deregister your cash register
If you used a cash register, it must be deregistered.
  5. File the application
With the State Register Agency, in person or through a representative with a power of attorney. There is no fee, and the IE is closed from the moment of filing.
  6. Close the business account
After closing the IE, close its current account at the bank so you stop paying service fees.

What happens if you simply abandon the IE

An inactive IE does not disappear on its own. While it is registered, you must file returns, or you face fines and penalty interest. From 1 July 2026 the tax authority sends automatic reminders about debts and may then freeze your accounts. In addition, from 2026 sole proprietors whose previous-year income exceeded AMD 2.4 million pay a health insurance contribution. Filing deadlines are in our tax reporting calendar.

Common mistakes

  • Leaving the country without closing or suspending the IE. Debts and fines keep building up.
  • Filing to close while in debt. The IE is closed, but the debt stays with you.
  • Accepting payments to the IE account after closure.
  • Confusing suspension with closure. During a pause the IE still exists.
